MANAGER, CORPORATE LEGAL
Job Description

THE JOB : 

This role is to manage, plan, coordinate, supervise, monitor, and provide advisory as well as legal services in relation to all corporate legal matters and corporate loans/ grants for BPHB Group including matters on mergers and acquisition, joint venture, partnership as well as sukuk / grants, etc in respect of BPHB Group. 

KEY RESPONSIBILITIES : 

  • Lead and manage the Group Legal Counsel in ensuring the effectiveness of resources and general coordination of administrative support pertaining to corporate legal matters including corporate loans / grants 
  • Serves as the legal advisor to the General Manager, Group Legal Counsel as well as the Management of BPHB Group for all contractual / legal / governance issues / queries raised by BPHB Group pertaining to corporate legal matters and corporate loans / grants 
  • Draft, review and negotiate terms and conditions of legal corporate agreements and documentations including corporate policies and procedures and to suggest relevant, viable alternatives to problematic corporate legal issues for BPHB Group 
  • Manage the administration of payment pertaining to statutory fees, legal fees, other bills/invoices etc. related to corporate legal and corporate loans / grants matters. 
  • Monitor the preparation and execution of all corporate legal documents and agreements including but not limited to merger and acquisition exercise, partnership, joint venture, corporate loans / grants including sukuk etc. are prepaid in a timely manner and with accuracy  
  • Liaise, participate and involve in negotiation with the relevant divisional / departmental business units from BPHB Group as well as the relevant authorities including solicitors and bankers on matters relating to corporate legal and corporate loans / grants  
  • Coach, guide, motivate and review staff’s deliverables, capacity and capabilities so as to ensure they are able to perform at the optimum and engaged level. 
  • Keeping abreast of changes in law relating to corporate legal as well as corporate loans / grants that may affect legal matters of BPHB Group. 
  • Demonstrate and ensure the confidentiality, integrity and availability of information in accordance with Bintulu Port information security requirements, policies and procedures during and after employment.

  • Proficient in both English and Bahasa Malaysia (verbal and written skills) and ability to convey complex information in a way that others can readily understand.

Additional Details

REQUIREMENTS: 

  • Education: Degree in Laws (LLB) (Hons) 
  • Working Experience
  • 5 to 8 years of experience in a related field 
  • Good knowledge of all laws enforceable and it updates 
  • Possess knowledge in legal/commercial/business/corporate aspects. 
  • Experience in applying organizational standards when developing and negotiating terms and conditions of agreement and other legal instruments. 
  • Computer literate.
