Bursa Announcement

1.    Introduction

We refer to the announcement made by Bintulu Port Holdings Berhad ("BPHB" or "the Company") on 14 September 2026 in relation to the transition of Bintulu Port from a Federal Port to State Port and the continuation of Bintulu Port Sdn. Bhd. ("BPSB"), a wholly owned subsidiary of the Company as the approved port operator of Bintulu Port.

2.    Gazetted Appointment

Further to that announcement, the Board of Directors of BPHB wishes to announce that Bintulu Port Authority (Sarawak) ("BPA Sarawak"), with the approval of the Majlis Mesyuarat Kerajaan Negeri, has appointed BPSB as an approved port operator for Bintulu Port  ("Appointment").

The Appointment is set out in the Bintulu Port Authority (Sarawak) (Appointment of Approved Port Operator) Notification, 2026 [Swk. L. N. 261] ("Notification"), published in the Sarawak Government Gazette, Part II, dated 10 September 2026. The Notification was made under section 12(2)(a) of the Port Authorities Ordinance, 1961 ("Ordinance").

The Appointment is deemed to have commenced on 1 September 2026 for a period of thirty (30) years and expiring on 31 August 2056.

3. Terms and Conditions

Under the Notification, BPSB shall perform, carry out or provide the port undertakings at Bintulu Port subject to:

(a) full compliance with the Ordinance and any by-laws, regulations or subsidiary legislation made under it; and

(b)  the terms and conditions of the Heads of Agreement dated 27 July 2026 ("HOA") entered into between the State Government of Sarawak, BPA Sarawak and BPSB.

The HOA terms and conditions shall continue to apply until the Port Operation Concession Agreement ("POCA") is duly executed by those parties. Upon execution, the POCA shall be binding on BPSB and govern its operation of Bintulu Port.

4. Continuity of Operations and Further Announcements

BPSB will continue to operate Bintulu Port under the State regulatory framework and the contractual arrangements described above.

The Company will make further announcements on material developments, including the execution of the POCA.
