DescriptionTRANSITION OF BINTULU PORT FROM A FEDERAL PORT TO A STATE PORT AND CONTINUATION OF PORT OPERATIONS BY BINTULU PORT SDN. BHD.

1.    Introduction

 

The Board of Directors of Bintulu Port Holdings Berhad ("BPHB" or "Company") wishes to announce that, with the coming into force of the following two (2) acts effective 1 September 2026 ("Effective Date"), Bintulu Port has officially transitioned from a Federal Port to a State Port under the jurisdiction of the State Government of Sarawak:

 

(a)    the Declaration of an Area in the Bintulu District to be a Federal Port (Repeal) Act 2024 [Act 858] pursuant to Federal Gazette No. [MOT.BM.600-2/9/25 Jld.5 (29)(S);PN (U2)3367] dated 26 August 2026; and

(b)    the Bintulu Port Authority (Dissolution) Act 2024 [Act 859] pursuant to Federal Gazette No. [MOT.BM.600-2/9/25 Jld.5 (29)(S);PN (U2)3367] dated 26 August 2026.

 

2.    The Appointment of BPSB as the Approved Port Operator 


The Ministry of Infrastructure and Port Development, Sarawak vide letter reference; MIPD/700-12/1/1(47) on 23 June 2026 has notified Bintulu Port Sdn. Bhd. ("BPSB"), a wholly owned subsidiary of BPHB, that the Government has approved in principle the appointment of BPSB as the approved port operator for Bintulu Port under Section 12(2)(a) of the Port Authorities Ordinance, 1961.

 

3.   Operational Framework


With effect from the Effective Date, BPSB's operation, management and development of Bintulu Port are governed by the Heads of Agreement dated 27 July 2026 ("HOA") entered into between the State Government of Sarawak, Bintulu Port Authority (Sarawak) ("BPA Sarawak") and BPSB, pending the execution of the Port Operation Concession Agreement ("POCA").

 

4. Cessation of Federal Arrangements


Consequent upon the transition and with effect from the Effective Date, the Privatisation Agreement dated 31 December 1992 ("Privatisation Agreement") and the Fourth Interim Agreement dated 22 December 2025 entered into between the Government of Malaysia, Bintulu Port Authority and BPSB, together with the related Federal operating arrangements, had ceased to have effect.


By virtue of a Tripartite Agreement dated 21 June 2026, the State Government of Sarawak and BPSB agree to release the Federal Government from any and all claims that the State Government of Sarawak and BPSB had, have or may have arising out of or in connection with the Privatisation Agreement.

 

Accordingly, BPSB is no longer operating Bintulu Port under the Federal Government's regulatory framework and will continue its operations pursuant to the HOA and POCA with the State Government of Sarawak and BPA Sarawak.

 

5. Continuity of Port Operations


The transition of Bintulu Port from a Federal port to a State port under the jurisdiction of the Sarawak Government, together with the execution of the HOA, will not affect the day-to-day operations of Bintulu Port or the continuity of services to customers, port users and other stakeholders.


BPSB remains the operator of Bintulu Port and all port operations and services will continue without any interruption under the State regulatory framework.

 

6. Financial Effects

 

There are no material impact to the Group's earnings, net assets, share capital or shareholdings arising from this arrangement for the financial year ending 31 December 2026.


7. Directors' Statement


The Board views the transition as a significant milestone for BPHB and BPSB. BPHB will continue to work closely with the State Government of Sarawak, BPA Sarawak and all relevant authorities to support a smooth transition and maintain the stability, efficiency and continuity of port operations.
